1. Introduction and Agreement to Terms


1.1 These Website Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you" or "your") and The Tape Group Limited, a company incorporated in England and Wales under company number 14321356, trading as Tape UK ("Tape UK", ", "us" or "our").

1.2 These Terms govern your access to and use of our website located at www.tapeuk.com (the "Website"), including all content, services, and functionality made available through or in connection with the Website.

1.3 By accessing, browsing, or otherwise using the Website, you confirm that you have read and understood these Terms, that you are at least 18 years of age (or have parental consent), that you have legal capacity to enter a binding agreement, and that you agree to be bound by these Terms and all applicable laws.

1.4 If you are using this Website on behalf of a business or organisation, you represent and warrant that you have authority to bind that entity to these Terms.

1.5 We reserve the right to amend these Terms at any time. Amendments take effect immediately upon publication. Your continued use of the Website constitutes acceptance of any revised Terms.

3. Acceptable Use


3.1 You may use this Website only for lawful purposes and in a manner consistent with these Terms.

3.2 You must not use this Website in any way that breaches applicable laws or regulations; transmit viruses, malware, or other harmful code; attempt unauthorised access to the Website, its server, or connected databases; scrape, harvest, or collect data without our express written permission; reproduce, resell, or exploit any portion of the Website without prior written consent; or misrepresent your identity or affiliation with any person or organisation.

3.3 A breach of clause 3.2 may constitute a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities.

3.4 We reserve the right to suspend or permanently block your access to the Website if we reasonably believe you have breached these Terms.


4. Services


4.1 Through this Website, Tape UK provides information about the following professional services: Accounting (Ltd, CIC, Sole Trader), Payroll and Tax, Company Formation and Compliance, Business Admin Support, Business Branding, Logo and Graphic Design, Web Design and Hosting, Photography and Videography, and Social Media Management.

4.2 Nothing on this Website constitutes a binding offer to provide services. A binding agreement arises only upon execution of a formal Client Services Agreement.

4.3 We reserve the right to modify, suspend, or discontinue any service at any time, subject to any rights under a signed Client Services Agreement.


5. Intellectual Property


5.1 All content on this Website — including text, graphics, logos, images, software, and multimedia — is the property of The Tape Group Limited or its licensors and is protected by the Copyright, Designs and Patents Act 1988 and applicable UK intellectual property law.

5.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access the Website for personal, non-commercial use only. This licence does not permit resale, commercial use, data mining, automated extraction, or any derivative use of Website content.

5.3 You may not copy, modify, republish, reproduce, or redistribute any material from this Website without our prior express written permission.

5.4 Tape UK's name, logo, and all related marks are trademarks of The Tape Group Limited. You must not use them without our prior written consent.


6. Data Protection and Privacy


6.1 We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

6.2 By submitting information via our Website, you acknowledge that we will collect and process your personal data in accordance with our Privacy Policy.

6.3 We may be required by law to conduct identity verification checks under the Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017. Failure to provide required documentation may result in a delay or refusal of services.

7. Disclaimer of Warranties


7.1 This Website and its content are provided on an "as is" and "as available" basis without any warranty or representation, express or implied.

7.2 To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement, and any warranty that the Website will be uninterrupted, error-free, or free from viruses.


8. Limitation of Liability


8.1 To the fullest extent permitted by law, The Tape Group Limited shall not be liable for any indirect, incidental, special, or consequential loss; any loss of profits, revenue, data, or business opportunity; any loss arising from reliance on Website content; or any loss arising from events beyond our reasonable control.

8.2 Our total aggregate liability to you in respect of any claims arising from your use of the Website shall not exceed £100.

8.3 Nothing in these Terms excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by English law.


9. Third-Party Links and Cookies


9.1 This Website may contain links to third-party websites. We do not endorse or accept responsibility for the content or practices of those sites. Accessing third-party websites is at your own risk.

10. Governing Law


These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising from or relating to these Terms or use of this Website.


11. Complaints


If you have a complaint, please contact us at info@tapeuk.com. We will acknowledge your complaint within 5 working days and aim to resolve it within 28 calendar days.


12. General


If any provision of these Terms is found to be unlawful or unenforceable, it shall be severed without affecting the remaining provisions. Our failure to exercise any right shall not constitute a waiver. These Terms do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999.

CLIENT SERVICES MASTER AGREEMENT


The Tape Group Limited (trading as Tape UK) Company No: 14321356 Version 2.0 — Effective June 2025

PLEASE READ THIS AGREEMENT IN FULL BEFORE ENGAGING OUR SERVICES. THIS IS A LEGALLY BINDING CONTRACT. BY ACCEPTING OUR PROPOSAL, PAYING A DEPOSIT OR FIRST INVOICE, OR OTHERWISE COMMENCING WORK WITH US, YOU AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY.


1. Definitions and Interpretation


1.1 In this Agreement:

"Agreement" means this Client Services Master Agreement together with any Engagement Letter, Proposal, or Statement of Work issued by Tape UK and accepted by the Client.

"Client" means the individual, sole trader, partnership, limited company, community interest company, or other legal entity that has engaged Tape UK's services.

"Cooling-Off Period" means the 14-calendar-day period commencing on the Start Date, during which the Client may cancel this Agreement in accordance with clause 2.4.

"Deliverables" means any work product, design, content, report, filing, or other output created by Tape UK in providing the Services.

"Fees" means the charges payable by the Client as set out in the relevant Engagement Letter or Proposal.

"Fixed Price" means the agreed monthly fee for accounting services, which is fixed for the duration of the Initial Term and not subject to variation unless permitted under clause 6.6.

"Initial Term" means the minimum 24-month contract period for accounting services, commencing on the Start Date.

"Services" means the professional services to be provided by Tape UK as described in clause 3.

"Start Date" means the date on which this Agreement is accepted by the Client in accordance with clause 14.

1.2 References to writing include email and electronic documents. Clause headings are for convenience only.


2. Term, Fixed Pricing, Cooling-Off Period, and Renewal


2.1 All accounting service packages are priced on a fixed monthly basis. The monthly fee represents the total annual cost spread across 12 equal monthly payments. This Fixed Price is guaranteed and will not increase for the full 24-month Initial Term, subject only to clause 6.6.

2.2 This Agreement commences on the Start Date and continues for a minimum fixed term of 24 months for accounting services and 12 months for social media management services (each an "Initial Term").

2.3 Upon expiry of the Initial Term, this Agreement automatically renews for successive periods equal to the Initial Term unless either party gives not less than 30 days' prior written notice before the start of the relevant renewal period.

2.4 Cooling-Off Period. The Client has 14 calendar days from the Start Date (the "Cooling-Off Period") to cancel this Agreement without penalty and receive a full refund of any sums paid, provided no Services have been delivered or commenced. To cancel within the Cooling-Off Period, the Client must notify Tape UK in writing at info@tapeuk.com before the expiry of the 14th calendar day from the Start Date.

2.5 After the Cooling-Off Period. Once the Cooling-Off Period has expired, this Agreement becomes fully legally binding and the Initial Term is non-cancellable. From that point, the only way to exit this Agreement before the end of the Initial Term is to transfer ("switch") all services covered by this Agreement to another provider in accordance with clause 10. In such circumstances, all outstanding Fees for the remainder of the Initial Term become immediately due and payable in full as a genuine pre-estimate of loss and a reasonable contractual remedy for early exit.

2.6 The Client acknowledges that the Fixed Price and 24-month term represent a material benefit, and that the non-cancellable nature of the Initial Term (following the Cooling-Off Period) reflects the costs and commitments Tape UK incurs in onboarding and maintaining each client account.

2.7 For the avoidance of doubt, no cooling-off rights apply to business-to-business contracts under general law. The Cooling-Off Period in clause 2.4 is a contractual right granted by Tape UK and does not affect any statutory rights a consumer Client may have.


3. Services Provided


3.1 Accounting and Tax Services

Where selected, Tape UK will provide preparation and submission of statutory accounts (Ltd or CIC), Corporation Tax returns (CT600), Self-Assessment tax returns, VAT return preparation and submission, bookkeeping, bank reconciliations and journals, Companies House filings, and business advice and compliance support. All accounting services are performed in accordance with AIA regulations, HMRC rules, the Companies Act 2006, and applicable professional standards.

3.2 Payroll Services

Where selected, Tape UK will provide monthly payroll processing and payslip generation, Real Time Information (RTI) submissions to HMRC, PAYE, National Insurance, Student Loan and Attachment of Earnings administration, pension administration (NEST or other), P60, P11D, new starter onboarding, and CIS handling for subcontractors where applicable. The Client must provide accurate employee data at least 5 working days before the relevant payroll processing date. Any HMRC penalties arising from the Client's failure to provide timely and accurate data remain the sole responsibility of the Client.

3.3 Administration and Compliance Services

Where selected, Tape UK will provide HMRC and Companies House correspondence management, business address management, secure digital document storage, and diary and email support under agreed retainer arrangements.

3.4 Creative and Branding Services

Where selected, Tape UK will provide logo design, typography, colour palettes and brand guidelines, website design and build (GoDaddy CMS), social media content creation and scheduling, business photography and branded video, and digital design of marketing materials. Creative services do not commence until a non-refundable deposit of 50% of the agreed Fees has been received. The remaining 50% is due before final delivery of any Deliverables. All intellectual property in Deliverables remains vested in The Tape Group Limited until full payment has been received.


4. Client Obligations


4.1 The Client must provide all information and documentation reasonably requested by Tape UK, including for limited companies: certificate of incorporation, UTR, HMRC login credentials, Companies House authentication code, director information (NI number, passport, date of birth), and previous accounts and bank statements; for sole traders: UTR, NI number, date of birth, business start date, and income and expense records; and for payroll: employee names, NI numbers, pay rates, hours, start dates, and employer PAYE and pension details.

4.2 The Client must immediately notify Tape UK in writing of any changes to business structure, ownership, or contact details; any HMRC or legal correspondence received; any changes in payroll, VAT, or accounting arrangements; and any circumstances that may affect Tape UK's ability to provide the Services.

4.3 The Client warrants that all information provided is accurate, complete, and not misleading. Tape UK shall not be liable for any loss, penalty, or adverse consequence arising from the Client's provision of inaccurate or incomplete information.


5. Identity Verification and Anti-Money Laundering


5.1 Tape UK is legally required to verify the identity of all clients under the Money Laundering, Terrorist Financing and Transfer of Funds (Information on the Payer) Regulations 2017 and the requirements of the Association of International Accountants (AIA).

5.2 Before Services commence, the Client must provide one form of photo ID (valid passport, UK driving licence, or Biometric Residence Permit) and two proofs of address dated within 3 months (utility bill, bank statement, council tax bill, or HMRC letter).

5.3 Failure to provide satisfactory identity documentation will result in immediate suspension of all Services. Tape UK shall not be liable for any loss arising from such suspension.

5.4 Tape UK is required by law to report suspicious activity under the Proceeds of Crime Act 2002 and shall not be liable for any loss arising from compliance with these obligations.

5.5 Tape UK may terminate this Agreement immediately where it has reasonable grounds to suspect involvement in money laundering, fraud, or financial crime.


6. Fees and Payment Terms


6.1 Accounting service Fees are calculated on an annual basis and divided into 12 equal monthly instalments. The monthly Fixed Price is guaranteed for the full 24-month Initial Term.

6.2 All invoices are due and payable by the 1st of each month, covering the prior month's Services, by bank transfer to: Account Name: The Tape Group Limited, Sort Code: 04-06-05, Account Number: 19580038. Please use your company name and invoice number as the payment reference.

6.3 Where payment is not received within 14 days of the due date, Tape UK reserves the right to charge statutory interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998 from the due date until the date of payment, a fixed administration charge of £50 per late invoice, and reasonable debt recovery costs where the debt is referred to a third party.

6.4 Where payment remains outstanding for 30 or more days, Tape UK may suspend all Services without further notice and without liability for any resulting loss.

6.5 Any work outside the agreed scope will be charged separately and added to the Client's next invoice.

6.6 Tape UK reserves the right to review Fees after the Initial Term, with not less than 30 days' prior written notice, to reflect RPI increases, changes in law, or increases in third-party software costs. The Fixed Price shall not increase during the Initial Term.

6.7 All Fees are exclusive of VAT unless otherwise stated.


7. Website, Domain, and Hosting


7.1 Website packages include free domain registration and hosting for 24 months from the date of delivery of the completed website.

7.2 After 24 months, full responsibility for domain renewal and hosting passes to the Client. Tape UK can manage renewals for an annual administration fee of £100 (excl. VAT), subject to change on reasonable notice.

7.3 All website assets, content, source code, and domain names remain the property of The Tape Group Limited until all outstanding Fees are paid in full. Tape UK may suspend or take down any website where Fees are outstanding.


8. Confidentiality and Data


8.1 Both parties agree to keep confidential all information received from the other party and not to disclose it to any third party without prior written consent, except as required by law or regulation.

8.2 Tape UK processes all Client data in compliance with the UK GDPR and the Data Protection Act 2018. Client records are retained for a minimum of 5 years following termination, or such longer period as required by law.

8.3 This clause survives termination of this Agreement.


9. Limitation of Liability and Indemnity


9.1 To the fullest extent permitted by law, Tape UK shall not be liable for any indirect or consequential loss; any loss of profit, revenue, data, or goodwill; any HMRC penalties arising from the Client's failure to provide accurate or timely information; any third-party software outages or system failures; or any failure caused by a force majeure event.

9.2 Tape UK's total aggregate liability under this Agreement shall not exceed the total Fees paid by the Client in the 12 months preceding the event giving rise to the claim.

9.3 The Client shall indemnify Tape UK against any claims, liabilities, losses, costs, and expenses (including legal fees) arising from the Client's breach of this Agreement, negligence or wilful misconduct, or any third-party claim arising from the Client's data, content, or business operations.

9.4 Nothing in this Agreement limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded.


10. Termination and Disengagement


10.1 After the expiry of the Initial Term, either party may terminate this Agreement by giving not less than 60 days' prior written notice.

10.2 Tape UK may terminate immediately if the Client commits a material breach not remedied within 14 days of written notice; fails to pay any sum due within 30 days; becomes insolvent or enters administration or liquidation; engages in conduct that damages Tape UK's professional reputation; fails to comply with AML obligations; or Tape UK is required to terminate by law or regulation.

10.3 Upon termination for any reason: all outstanding Fees (including, where applicable, Fees for the remainder of any minimum term) become immediately due; a professional clearance and handover fee of £100 (excl. VAT) is payable before Tape UK issues any clearance letter or transfers files; website domains and files are withheld until all sums are paid; client files are retained for 6 months and then securely destroyed unless collected; and Tape UK reserves the right to pursue legal proceedings to recover all sums owed from the commencement date.


11. Force Majeure


Neither party shall be in breach of this Agreement for any failure or delay caused by circumstances beyond their reasonable control, including acts of God, pandemic, government restrictions, cyberattacks, power failures, or third-party system failures. The affected party must notify the other as soon as reasonably practicable and take all reasonable steps to mitigate the impact.


12. General Provisions


Portfolio Reference: Tape UK may reference anonymised client work in its portfolio unless the Client opts out in writing.

Referral Commissions: Tape UK may receive commissions from third-party partners. These will be disclosed on written request.

No Variation: No amendment to this Agreement is valid unless made in writing and signed by both parties.

Entire Agreement: This Agreement supersedes all prior discussions, proposals, and representations between the parties.

Severability: If any provision is found unlawful or unenforceable, the remaining provisions continue in full force.

Waiver: Failure to exercise any right shall not constitute a waiver of that right.

No Third-Party Rights: This Agreement does not confer any benefit on third parties under the Contracts (Rights of Third Parties) Act 1999.

Assignment: Tape UK may assign this Agreement. The Client may not assign without Tape UK's prior written consent.

Notices: Written notices may be delivered by hand, first-class post, or email. Notices sent by email are deemed received on transmission (absent a delivery failure notification); notices sent by post are deemed received 2 business days after posting.


13. Governing Law and Dispute Resolution


13.1 This Agreement is governed by and construed in accordance with the laws of England and Wales.

13.2 The parties agree to attempt in good faith to resolve any dispute by negotiation. If unresolved within 28 days of written notice, either party may refer the matter to mediation under the CEDR Model Mediation Procedure before commencing proceedings.

13.3 The courts of England and Wales shall have exclusive jurisdiction over any dispute arising under or in connection with this Agreement.


14. Formation and Execution


14.1 This Agreement becomes legally binding on the earliest of: written or electronic acceptance of a Proposal or Engagement Letter; receipt by Tape UK of a deposit or first invoice payment; or commencement of any Services by Tape UK at the Client's request.

14.2 Electronic and scanned signatures are valid and legally binding under the Electronic Communications Act 2000.

14.3 By accepting this Agreement you confirm that you have read and understood these Terms in full, that you have authority to bind the entity named as Client, and that you agree to be bound by these Terms without reservation.
