3.3 We reserve the right to suspend or permanently block access if misuse is detected.

All services are subject to specific terms, engagement letters, and regulatory conditions as agreed with clients individually.


5. Client Contracts


5.1 All formal services rendered by Tape UK are subject to binding service agreements. The minimum term for accounting services is 24 months, and 12 months for social media management.

5.2 Website design, branding, photography, and other creative work requires a 50% non-refundable deposit before work begins. The balance is payable before final delivery.

5.3 All fees are payable in accordance with our payment schedule provided at the time of engagement.

5.4 Non-payment of fees or repeated breach of our agreement may lead to suspension or termination of services.


6. Intellectual Property Rights


6.1 All content on this website, including but not limited to text, graphics, logos, images, software, and multimedia content, is the property of The Tape Group Limited or its licensors and is protected by UK copyright and intellectual property laws.

6.2 You may not copy, modify, republish, reproduce, or redistribute any material from this site without our express written permission.


7. Data Protection and Privacy


7.1 We process personal data in accordance with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018.

7.2 By submitting information via our forms or using our services, you consent to the collection and use of your information in accordance with our privacy practices.

7.3 We may conduct identity checks in line with anti-money laundering regulations. Failure to provide ID verification when requested may result in service delays or refusal.


8. Limitation of Liability


8.1 We strive to ensure information on this website is accurate and up to date. However, we make no guarantees as to its completeness or reliability.

8.2 We do not accept responsibility for:

  • Any indirect or consequential loss or damage
  • Any loss of data, revenue, profits, or business opportunity
  • Any failure caused by events beyond our control, including service outages or cyberattacks

8.3 Nothing in these Terms excludes our liability for death or personal injury caused by our negligence or for fraud or fraudulent misrepresentation.

CLIENT SERVICES MASTER AGREEMENT


The Tape Group Limited (Trading as Tape UK)

1. INTRODUCTION & LEGAL FRAMEWORK


1.1 This legally binding Agreement governs the professional services provided by The Tape Group Limited, trading as Tape UK ("Tape UK", “we”, “our”, or “us”) to the client ("you", “your” or "the Client").

1.2 This Agreement supersedes all prior agreements, proposals, discussions or communications, and applies exclusively to Tape UK's accounting clients, including those with added branding, admin, or creative support services.


1.3 By engaging Tape UK, you confirm that you have read, understood, and agreed to be bound by these terms. This Agreement is enforceable under the laws of England and Wales.


2. TERM & AUTOMATIC RENEWAL


2.1 If agreed to a minimum fixed term of twenty-four (24) months for accounting services. 

2.2 At the end of the initial term, it shall automatically renew for additional 24-month periods, unless you give (30) days' written notice prior to renewal.

2.3 This term is non-cancellable. If you seek early termination, all outstanding fees for the balance of the term become immediately due and payable.


3. SERVICES PROVIDED


3.1 Accounting & Tax Services (if selected)


  • Preparation and submission of statutory accounts (Ltd or CIC)
  • Corporation Tax (CT600), Self-Assessment tax returns, VAT returns
  • Bookkeeping, bank reconciliations, journals
  • Companies House filings
  • Business advice and compliance support


All accounting services are provided in accordance with AIA regulations, HMRC rules, the Companies Act 2006, and professional standards.

3.2 Payroll Services (if selected)


  • Monthly payroll processing and payslip generation
  • Real Time Information (RTI) submissions
  • PAYE, NI, Student Loan, Attachment of Earnings
  • Pensions (NEST or other), P60/P11D, new starter onboarding
  • CIS handling for subcontractors (if applicable)


You must provide accurate employee data at least 5 working days before processing. Late information may incur penalties for which you remain liable.

3.3 Admin & Compliance (if selected)


  • HMRC and Companies House correspondence
  • Business address handling and document updates
  • Digital storage of your financial documents
  • Optional diary and email support under agreed retainers


3.4 Creative & Branding Services (if selected)


  • Logo design, typography, colour palettes, usage guidelines
  • Website design (GoDaddy CMS)
  • Social media content creation and scheduling
  • Business photography and branded video
  • Digital design of flyers, menus, brochures


Creative services commence only after a 50% deposit is paid. Remaining 50% is due before final delivery.

4. DOCUMENTATION & CLIENT RESPONSIBILITIES


4.1 You must provide the following prior to work starting:


For Limited Companies:


  • Company registration certificate
  • UTR, HMRC login, authentication code
  • Director info (NI number, passport, DOB)
  • Previous accounts, tax returns, bank statements


For Sole Traders:


  • UTR, NI number, DOB, business start date
  • Self-assessment history, income/expense records


For Payroll:


  • Staff names, NI numbers, pay rates, hours
  • Start dates and employment terms
  • Employer PAYE reference and pension scheme info


4.2 You must inform us immediately of:


  • Any changes to business structure or contact details
  • Any HMRC or legal correspondence received
  • Any change in payroll, VAT, or accounting details


5. IDENTITY VERIFICATION (AML and AIA COMPLIANCE)


To comply with the Money Laundering Regulations 2017, you must submit:


A) One photo ID:


  • Passport, Driving Licence, or BRP


B) Two proofs of address (dated within 3 months):


  • Utility bill, bank statement, council tax bill, HMRC letter


Failure to provide ID will result in a suspension of services.


6. FEES & PAYMENT TERMS


6.1 Tape UK operates fixed monthly pricing for accounting clients, calculated over 12 months.


All invoices are payable by the 1st of each month, covering the previous month’s services.

6.2 Late payments incur:


  • 8% annual interest under the Late Payment of Commercial Debts (Interest) Act 1998
  • £50+ admin fees
  • Service suspension without notice
  • Potential legal or third-party recovery


6.3 Additional Work outside agreed scope is billable separately and added to your next invoice at £100/hour or at a fixed rate as quoted.


6.4 Bank Payment Details

6.5 Tape UK may increase fees annually in line with the Retail Prices Index (RPI) or changes in law, software, or regulatory costs. You will be notified at least 30 days in advance.


7. WEBSITE & DOMAIN POLICY


7.1 Website packages include free domain and hosting for 24 months.

7.2 After 24 months, responsibility for hosting and renewal passes to you. Tape UK can manage renewals for a £100 annual fee.


7.3 Websites, assets, and content remain the property of Tape UK until full payment is received.


8. CONFIDENTIALITY & DATA


8.1 All data shared is confidential unless required by law, regulators, or public interest.

8.2 We comply with GDPR and the Data Protection Act 2018.

8.3 We store records securely for five (5) years after termination unless legally required to retain them longer.


9. LIMITATION OF LIABILITY


9.1 Tape UK is not liable for:


  • Any indirect or consequential loss
  • HMRC penalties due to client delays or non-disclosure
  • Software outages, internet issues, or third-party system errors


9.2 Our total liability is limited to the total amount paid by you in the 12 months before any claim.

9.3 You indemnify Tape UK against any third-party claim arising from your data, your business operations, or misuse of services.


10. TERMINATION & DISENGAGEMENT


10.1 Either party may terminate with 60 days’ written notice after the initial 24-month period.

10.2 We may terminate immediately if:


  • You breach this agreement
  • You damage our reputation
  • You withhold cooperation or payment


10.3 Post-Termination:


  • A £100 handover fee applies for professional clearance
  • Website domains and records are withheld until payment is received
  • Files are destroyed after 6 months if unclaimed
  • We have the right to use our legal team to recoup funds owed to us from start date to present. 


11. MISCELLANEOUS


11.1 Tape UK retains the right to reference anonymised client work in its portfolio unless opted out in writing.

11.2 We may receive commissions from third-party software or service partners. Any such benefit will be disclosed to you upon request.

11.3 No variation of this Agreement shall be valid unless made in writing and signed.

11.4 This Agreement is governed by English law and any dispute shall be settled exclusively in the courts of England and Wales.


12. EXECUTION


This Agreement is binding when:


  • You accept a proposal;
  • You pay a deposit or first invoice; or
  • You confirm services by email or in writing.
  • Once you work with us, you are legally binding by these terms and conditions. 


Digital and scanned signatures are valid and enforceable.
